This contract serves as the entire agreement between the contractor and negotiators as related to this contract and may be amended by attaching an addendum to this contract which is agreed to by all parties in writing. The speaker/contractor agrees to present in accordance with the ACCME Essential Areas and Elements, Policies and Standards for Commercial Support. By signing this contract, the speaker agrees to

Include a “Disclosure” slide at the beginning of his/her presentation stating all relevant financial relationships or that no relevant financial relationship(s) exist(Required)
Give a balanced view of therapeutic options(Required)
Use generic names with commercial names in parenthesis when reference is made to medications(Required)
Use model numbers with commercial names in parenthesis when reference is made to medical devices(Required)
Use trade names from several companies when available whenever trade names are used(Required)
Obtain copyright permission for any copyrighted materials used in handouts or slides(Required)
Refrain from the use of slides or handouts with the name of any commercial interest, company, or organization in order to prevent any perceived link between the content of the continuing medical education event to any proprietary interest, to prevent unnecessary distractions from the scientific content of the presentation, and to avoid advertising of any sort in the educational venue.(Required)
Submit either handout material and/or a copy of the slides to MSF no later than January 23,2024. If content is not received, the event may be canceled.(Required)

This contract may be terminated by mutual agreement by the CME Program or Montana State Fund upon a breach by the contractor or by any party giving a 30-day written notice. This contract is subject to the terms and conditions outlined in Addendum A attached hereto and incorporated herein by this reference. Upon completion of services, Montana State Fund agrees to pay the final $3,750 honorarium by check ($3,750 deposit paid in advance) at the conference. Montana State Fund agrees to reimburse customary travel expenses and pay lodging at the conference site.

ADDENDUM A TO CONTINUING MEDICAL EDUCATION SPEAKER CONTRACT TERMS AND CONDITIONS

SECTION 1 ASSIGNMENT, TRANSFER AND SUBCONTRACTING

Contractor may not assign, transfer, or subcontract any portion of this contract without the MSF’s prior written consent. (18-4-141, MCA.) Contractor is responsible to MSF for the acts and omissions of all subcontractors or agents and of persons directly or indirectly employed by such subcontractors, and for the acts and omissions of persons employed directly by Contractor. No contractual relationships exist between any subcontractor and MSF under this contract.

SECTION 2 ACCESS AND RETENTION OF RECORDS

Contractor agrees to provide MSF, Legislative Auditor, or their authorized agents, access to any records necessary to determine contract compliance (Mont. Code Ann. § 18-1-118). Contractor agrees to create and retain records supporting the services rendered or supplies delivered for a period of eight years after either the completion date of the contract or the conclusion of any claim, litigation, or exception relating to the contract taken by the State of Montana or third party.

SECTION 3 COMPLIANCE WITH LAWS

The Contractor shall, in performance of work under this contract, fully comply with all applicable federal, state, or local laws, rules, and regulations, including but not limited to, the Montana Human Rights Act, the Civil Rights Act of 1964, the Age Discrimination Act of 1975, the Americans with Disabilities Act of 1990, and Section 504 of the Rehabilitation Act of 1973. The Contractor is the employer for the purpose of providing healthcare benefits and paying any applicable penalties, fees and taxes under the Patient Protection and Affordable Care Act [P.l. 111-148, 124 Stat. 119]. Any subletting or subcontracting by the Contractor subjects’ subcontractors to the same provision. In accordance with 49-3-207, MCA, the Contractor agrees that the hiring of persons to perform this contract will be made on the basis of merit and qualifications and there will be no discrimination based upon race, color, religion, creed, political ideas, sex, age, marital status, physical or mental disability, or national origin by the persons performing this contract.

SECTION 4 LAW AND VENUE

Montana law governs this contract. The parties agree that any litigation concerning this bid, proposal, or this contract must be brought in the First Judicial District in and for the County of Lewis and Clark, State of Montana, and each party shall pay its own costs and attorney fees.
